1. Scope of Wholesale Services

Global Optique specializes in B2B supply of ophthalmic frames, titanium eyewear, flexible pediatric eyeglasses, and polarized sunglass collections. Our operational portal serves licensed optometrists, dispensing opticians, medical eye centers, and commercial retail chains.

All transactions are considered business-to-business commercial contracts. Retail consumer protection statutes intended strictly for individual shoppers do not govern commercial order lots placed through our distribution infrastructure.

2. Buyer Verification & Account Compliance

To access confidential wholesale pricing and dispatch schedules, prospective buyers must submit verified commercial credentials, including active tax exemption IDs, optical license certificates, or corporate business registrations.

Buyers remain solely responsible for preserving the confidentiality of their portal credentials. Any wholesale orders placed under an authorized business profile are considered pre-approved commercial purchase agreements.

3. Product Standards, Specifications & Pricing

Over 447 frame styles across 19 curated collections are manufactured and inspected under exacting ophthalmic parameters. We strive for absolute accuracy regarding eye size, bridge measurements, temple length, lens base curves, and metallurgy composition.

• Minor chromatic variance may occur due to individual display monitor calibrations and natural batch variations in cellulose acetate blocks.
• Wholesale price sheets, freight surcharges, and volume discounts remain subject to quarterly adjustments based on raw material and logistical shifts.
• Written confirmations supersede tentative quotes generated during initial digital inquiries.

4. Intellectual Property Rights

All brand names, proprietary trademarks, imagery, architectural schematics, CAD profiles, and copyrighted text visible on Johnny4eyes and Global Optique collateral are protected by United States and international IP conventions.

Commercial partners receive a limited, revocable license to utilize official promotional imagery strictly for point-of-sale display and authorized practice dispensing. Unauthorized duplication, brand reconfiguration, or reselling under deceptive pseudonyms is strictly prohibited.

5. Fulfillment, Inspection & Claims Policy

All shipments originate from our domestic distribution facility in St. Cloud, Minnesota, USA. Risk of loss and title transfer upon handover to bonded freight carriers or customs dispatchers.

6. Limitation of Liability

To the fullest extent permitted by applicable commercial statutes, Global Optique, its parent entities, officers, and supply logistics partners shall not be held liable for indirect, incidental, punitive, or consequential damages, including loss of retail revenue or downstream dispensing downtime.

Our cumulative financial liability for any validated claim shall not exceed the net invoice amount paid by the Buyer for the specific lot giving rise to the dispute.

7. Governing Law & Jurisdiction

These Terms and all executed wholesale transactions shall be governed by and construed in accordance with the laws of the State of Minnesota, United States, without giving effect to any principles of conflicts of law. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly disclaimed.

Any legal proceedings arising under these terms shall be instituted solely within state or federal courts seated in Stearns County, Minnesota, USA.
